1.1 DTSolutionz Business Details:
2.1 No Commission Charged:Currently, Doxlib does not charge any commission to the Pharmacy.The Pharmacy has full control over the discounts it offers to customers.The full discounted amount (after applying the Pharmacy’s chosen discount) will be credited to the Pharmacy.2.2 Tax Deduction at Source (TCS):As per GST regulations, DTSolutionz will deduct TCS at the applicable rate before transferring the final amount to the Pharmacy.At present, TCS is set at 1%, subject to government updates.2.3 Future Amendments in Pricing Structure:If Doxlib introduces a commission or subscription model in the future, the Pharmacy will be notified in advance.The agreement will be amended with the consent of the Pharmacy. If the Pharmacy does not wish to continue under the new structure, the agreement will be terminated without penalty.
3.1 Delivery costs will be handled and borne entirely by Doxlib, the healthcare platform owned by DTSolutionz.
3.2 Doxlib does not sell any medicines or healthcare products. Doxlib acts solely as a delivery service from the Pharmacy to the customer. Any issues arising from incorrect medicines or side effects will be the sole responsibility of the Pharmacy.
4.1 Pharmacy acknowledges that Doxlib is a registered trademark of DTSolutionz (trademark application under process).4.2 Pharmacy agrees not to misuse the Doxlib brand name, logo, or any associated intellectual property in any manner.
5.1 Pharmacy shall not spam customers or misuse customer contact details for unsolicited communication.5.2 Customer data must only be used for fulfilling orders placed through the Doxlib platform.
6.1 Orders marked as “open orders” can be accepted by multiple Pharmacies on the Doxlib platform. The customer will have the final choice to select the Pharmacy for delivery based on factors such as discount, location, and estimated delivery time.6.2 If an order cannot be fulfilled due to unforeseen circumstances or accidents, DTSolutionz will ensure a full refund to the Pharmacy for any products marked as “out for delivery.”6.3 Any delays in accepting orders specifically designated for the Pharmacy chosen by the customer will negatively affect the Pharmacy’s rating on the platform.
7.1 Returns and exchanges will follow the Pharmacy’s own policies as specified by them on the platform.7.2 If a customer refuses to accept an order, the Pharmacy must accept the return without dispute.
8.1 The Pharmacy agrees to adhere to the Privacy Policy, Terms and Conditions, and other policies published on the Doxlib website.
9.1 As per GST laws, DTSolutionz will deduct Tax Collected at Source (TCS) charges as required for e-commerce operators.9.2 GST-registered Pharmacies can claim the TCS amount while filing their GST returns.9.3 Pharmacies that are not GST-registered must provide their PAN card details for enrollment and compliance purposes.
10.1 Payments to the Pharmacy will be made on a weekly basis.10.2 Payments will be transferred to the bank account or UPI ID provided by the Pharmacy owner during registration.10.3 The Pharmacy is responsible for ensuring that the provided payment details are accurate and up to date.
10.1 The following documents are attached to and form part of this Agreement:
11.1 DTSolutionz will not be liable for any losses arising from the Pharmacy’s delay or failure to deliver an accepted order.
12.1 Either party may terminate this Agreement with a 30-day prior written notice.12.2 Upon termination, the Pharmacy must immediately stop using the Doxlib platform, trademarks, and other associated assets.
13.1 This Agreement shall be governed by and construed in accordance with the laws of West Bengal, India.13.2 Tax jurisdiction: Range-V (Code-WC0505), Modi Building, 39, Rabindra Sarani, Kolkata, Rabindra Sarani, West Bengal, Kolkata, India.
14.1 The Pharmacy agrees to indemnify and hold harmless DTSolutionz from any claims or liabilities arising out of the Pharmacy’s violation of this Agreement or applicable laws.
15.1 Both parties agree to keep the terms of this Agreement and any shared business information confidential.
16.1 This Agreement represents the entire understanding between the parties regarding the subject matter herein and supersedes any prior agreements, whether written or oral.16.2 Any amendment to this Agreement must be in writing and signed by both parties.
